Ryan Ryan Deluca LLP has represented corporations, directors and officers, and municipal boards and agencies in suits brought by shareholders and others for fraud, breach of fiduciary duty, malfeasance in connection with corporate governance issues, unfair trade practices and other commercial torts. The firm has handled a wide variety of cases in this area, including claims involving wrongful termination, alleged theft of intellectual property, depletion of assets and contractual violations. In addition, the firm defended a class action involving approximately 1100 plaintiffs who are suing a public housing authority and its executive director for alleged discrimination against certain applicants and tenants.

The firm recently obtained a defense verdict in a case brought by two shareholder plaintiffs who sought damages in excess of $9,000,000 plus punitive damages against five current and former corporate directors. The officers and directors were sued for breach of contract, fraud, breach of fiduciary duty and other alleged wrongdoing in connection with efforts to capitalize, produce and market an invention consisting of a ceramic oven insert used for baking. The plaintiffs were founding shareholders of the corporation, and they claimed that the defendants improperly gained control of the corporation and ownership of the intellectual property. After an eight-day trial, the court ruled for the defendants on all counts.
